ok i could only do one of these not mixed together.. so which one and why?
1. Built 700R4, ie reverse manual valve body w/ engine braking, heavy duty clutches.. etc.. etc with an 4:1 D300
or
2. Stock 700R4 with atals II 3.8
so which would you choose and why?

Why? Seems like a no-brainer. Sure, with the other setup you'll have an Atlas, but the D300 is a strong case, twin-stickable, and a lower low-range. Not to mention all the benefits of the R4 mods.

And not to mention that it'll match your curret axle setup

I'd do two, that way you avoid investing money (4:1) in something of marginal strength (dana 300). You could always do the tranny mods down the road when money or time (or whatever limiting factor you have now) allows.
On the other hand swapping t-cases in the future will be easier than modifying the tranny, so plus you could sell the D300 in the future (assuming you don't break it) to offset some of the cost of an atlas if you decide that's what you need.

I'd go stock tranny and Atlas. I have a modified tranny and in a lighweight Jeep with low gears I hate it. Snaps your neck every time it shifts, and breaks the tires loose on pavement (39.5's) on pavement when it shifts. I have 2.72 low range in my tranny and 5.13's and I have good compression braking now. 3.8 Atlas would compression brake even more.
I would never again use a modified 700R in a Jeep with a small-block.

I have a friend that built a 700R4 with a small block and put it in his toyota. He runs 5.16 gears and doesn't have a problem. That thing wheels like mad. I'd go with option #1.
I don't know how the Dana 300 compares to the NP231 but I know someone with a jeep that runs a teralow in his NP231 with a chevy 350 and he hasn't broken it. He runs a T350 tranny not a 700R.
Good Luck

I would go with the stock Transmission and the Atlas..
I love my Atlas.. so if that is part of the deal.. I go with that deal.

I'd go one, and I REALLY REALLY WANT AN ATLAS, (I got a 205 instead). Having the engine braking and full auto is just awesome, with a good torque converter you don't need the lower gears of the altas. Plus the Dana 300 is a pretty stout stock unit that can be fully twinsticked easy, I wouldn't put the 4 to 1 gears in it though, I'd put the heavy duty output on it.
